# Terms of Service Last Updated: October 3, 2025 The following **Terms of Service** ("**Agreement**") governs your use of our **Services** (defined below) and is entered into between Devoks Yazılım Teknolojileri ("**Devoks**", "**Devokr**", "**we**", "**us**" or "**our company**") and you. This Agreement applies to all visitors, users, and others who access or use our Services. **The Agreement becomes effective when you accept these terms.** You can indicate your acceptance of these terms in the following ways: - By signing an **Order Form** or **Statement of Work** referencing this Agreement, - By checking the checkbox linked to this Agreement, - By accessing or using our Services. By accepting this Agreement, you represent and warrant that **(a)** you are legally authorized to enter into contracts (e.g., you are of legal age) and **(b)** you have read, understood, and accept this Agreement on behalf of yourself and your **Organization** (defined below). **IF YOU ARE USING THE SERVICES ON BEHALF OF A CORPORATION, PARTNERSHIP, OR OTHER ENTITY ("ORGANIZATION"), YOU ARE ACCEPTING THIS AGREEMENT ON BEHALF OF YOURSELF AND SUCH ORGANIZATION. IN THIS CASE, THE TERMS "YOU" AND "YOUR" REFER TO BOTH YOU AND YOUR ORGANIZATION.** **THIS AGREEMENT CONTAINS A MANDATORY INDIVIDUAL ARBITRATION PROVISION FOR DISPUTE RESOLUTION AS SET FORTH IN SECTION 16(B) BELOW. THIS LIMITS YOUR RIGHTS TO COURT PROCEEDINGS OR CLASS ACTION LAWSUITS.** Devokr reserves the right to change or modify this Agreement or policies related to the use of the Services from time to time ("**Update**"). Changes will take effect on the "**Last Updated**" date indicated in the updated Agreement. Devokr will make reasonable efforts to inform you of such changes (for example, by email or notification when you log into your account). **Your continued use of the Services indicates your acceptance of the current Agreement.** **IF YOU DO NOT ACCEPT THESE TERMS, YOU MUST IMMEDIATELY CEASE USING THE SERVICES.** ### 1. Devokr Services and Setup #### (a) Services Devokr provides a **project management tool** and related mobile applications ("**Mobile Applications**"). For more information about our Services, please visit https://devokr.com. #### (b) Account Setup When creating an account to use our Services: - You must provide a username, password, and other registration information ("**Registration Information**"). - Devokr reserves the right to reject or require changes to the information you provide. - You must ensure that your Registration Information is current. #### (c) Account Security - **You are responsible** for maintaining the confidentiality of your username, password, and other credentials. - In case of suspected unauthorized use, **you must immediately notify Devokr**. - It is recommended that you use strong passwords and change them frequently. #### (d) Professional Services Devokr may offer application integration, training, and other professional services. The scope of these services is determined by the **Statement of Work**. #### (e) Free Trials and Services - Devokr may offer **free trial versions ("Free Trial")** or **free service tiers ("Free Services")** for specific periods. - At the end of the free trial period, your content **may be permanently deleted if not backed up within 90 days**. ### 2. Fees and Payment #### (a) Fees - Service fees are determined by the **Pricing Page** or **Order Form**. - Taxes and other legal fees are **your responsibility**. #### (b) Payment Method - You may use payment methods such as credit card or bank transfer. - You must ensure that your payment information is current. #### (c) Payment Issues - If payment fails, your Services may be **suspended or terminated**. - You have **14 days** to dispute invoices and **60 days** to dispute payment transactions. ### 3. Customer Responsibilities #### (a) Customer Content ("Customer Content") - You must ensure that content you upload to our Services is **legal and appropriate**. - Devokr reserves the **right to remove** inappropriate content. #### (b) Copyright Policy Accounts of users who commit copyright infringement may be **terminated**. ### 4. Devokr Intellectual Property Rights #### (a) Ownership All software, logos, designs, and other materials in our Services **belong to Devokr**. #### (b) Limited Use Rights - You may use the Services **only for specified purposes**. - **Reverse engineering, copying, or unauthorized distribution is prohibited.** ### 5. Electronic Communications and SMS Permission - Devokr may send account notifications, invoices, and other important information via **email or SMS**. - To unsubscribe from SMS, you may request it from your **account settings** or by contacting info@devoks.com.tr. ### 6. Feedback Your feedback regarding our Services **will become Devokr's property**. ### 7. Trademarks The "Devokr" logo and our other trademarks **may not be used without permission**. ### 8. Legal Compliance - You may not use the Services in a manner **contrary to laws**. - In case of inappropriate use, your **account may be terminated**. ### 9. Confidential Information The parties undertake to protect each other's **trade secrets**. ### 10. Warranty Disclaimer and Limitation of Liability The Services are provided **"AS IS"**. **Devokr is not liable for indirect damages.** ### 11. Termination of Agreement - In case of breach, Devokr may **immediately terminate the Agreement**. - After termination, **unpaid fees may be collected**. ### 12. Legal Disputes and Arbitration Disputes are subject to **Turkish law** and shall be resolved in the **courts of Istanbul**. ### 13.
